1. Agreement to Terms

By accessing or using Nexus Deal Engine ("the Platform"), operated by David Life Group LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

2. Description of Service

Nexus Deal Engine is an AI-powered real estate investment analysis platform that provides computational financial modeling, sensitivity analysis, Monte Carlo simulation, and AI-generated deal recommendations. The Platform is designed for real estate investors, analysts, and firms seeking data-driven investment intelligence.

3. Account Registration

To use the Platform, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You must be at least 18 years old and have the legal capacity to enter into these Terms.

4. Subscription Plans and Billing

Free Trial: All paid plans include a 14-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin.

Billing: Subscriptions are billed monthly or annually, depending on your selected plan. All payments are processed securely through Stripe. Prices are in US Dollars.

Cancellation: You may cancel your subscription at any time through your account settings or the Stripe customer portal. Upon cancellation, you retain access until the end of your current billing period. No refunds are provided for partial billing periods.

Price Changes: We reserve the right to modify pricing with 30 days advance notice. Existing subscribers will be notified via email before any price changes take effect.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to reverse-engineer, decompile, or disassemble the Platform
• Share your account credentials with unauthorized parties
• Use automated tools to scrape or extract data from the Platform
• Upload malicious content or attempt to compromise Platform security
• Resell or redistribute access to the Platform without authorization

6. Intellectual Property

Our IP: The Platform, including its design, code, financial models, AI algorithms, and branding, is the intellectual property of David Life Group LLC. All rights are reserved.

Your Data: You retain full ownership of the deal data you input and the analysis reports generated from your data. We do not claim ownership of your content. You grant us a limited license to process your data solely for the purpose of providing the Platform services.

To the maximum extent permitted by law, David Life Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, investment returns, or business opportunities, arising from your use of the Platform.

Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid us in subscription fees during the 12 months preceding the claim.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Platform. We may temporarily suspend the service for maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service downtime.

10. Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms. Upon termination, your right to use the Platform ceases immediately. We will make your deal data available for export for 30 days following termination.

11. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Orange County, Florida.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Platform. Your continued use after changes take effect constitutes acceptance of the revised Terms.
